Terms of sale & license

1. Who we are
STRIDENT is made by Papamoa DSP, a New Zealand business selling in trade ("we", "us"). Orders are processed by our online reseller FastSpring, which is the merchant of record for your purchase and handles payment, invoicing and sales tax. FastSpring's own terms of sale, shown at checkout, also apply to your purchase.
These terms are the same as the license agreement in the STRIDENT installer.
2. Evaluation
You may download and use STRIDENT free of charge for up to 60 days to decide whether it suits you. The evaluation is fully functional. After 60 days you need a license to continue using it. STRIDENT will remind you, but it does not stop working.
3. What you are buying
A license to use STRIDENT, not STRIDENT itself. We keep ownership of the code, the interface, the wavetables, the factory sounds and the name. Your license is permanent unless it ends under section 11.
4. License tiers
Licenses are sold on the honour system:
- Personal / Small business ($50): individuals making music for themselves, or businesses and individuals with annual gross revenue under $20,000, or schools and non-profit organisations.
- Commercial ($150): everyone else.
All amounts in these terms are in US dollars.
5. What you may do
- Use STRIDENT under a non-exclusive, non-transferable license for one person (or, for a commercial license, one seat). A studio where several people use it at once needs a license for each seat.
- Install it on any number of computers you own, provided it is used on only one at a time.
- Use it in any work, commercial work included, within your license tier.
- Keep, sell and license the audio you make with it, including audio made with the factory sounds. It is yours, royalty-free, with no credit or reporting owed.
- Make, share and sell patches you create yourself, including as a sound bank.
- Keep backup copies of the installer and your own patches.
6. What you may not do
- Sell, share, rent, lend, transfer or sublicense STRIDENT or your license, or publish your license key.
- Redistribute the factory sounds, on their own or as the substance of a sound bank.
- Reverse engineer, decompile or disassemble STRIDENT, except where the law says you may regardless of this term.
- Remove or alter any copyright notice in STRIDENT.
- Use STRIDENT's output to train a machine learning model as a substitute for STRIDENT itself.
7. Updates and your license key
Your license includes free updates for all 1.x versions, on Windows, and on Linux and macOS when available. A future major version may be a paid upgrade. We are not obliged to release any particular update, and if an update removes a feature, the release notes will say so.
Your license key is checked on your own computer. STRIDENT never contacts a server, works offline, and will keep working whether or not we are still trading.
8. Refunds
Because the full product can be evaluated free for 60 days before purchase, all license sales are final. We will refund accidental duplicate purchases on request. This does not affect your rights under section 9.
9. Your rights under consumer law
Nothing in these terms limits any rights you have under the New Zealand Consumer Guarantees Act 1993, the Fair Trading Act 1986, or other consumer law that applies to you and cannot be excluded. If STRIDENT is faulty and we cannot fix it, we will make it right.
10. Warranty and liability
We promise STRIDENT will do substantially what this website says it does. Beyond that, and except as required by law, it is provided "as is". To the extent permitted by law, we are not liable for indirect or consequential loss, such as lost work, recordings, income or time, and our total liability to you is limited to the amount you paid for your license. Please keep backups of your projects.
11. Ending the license
Your license ends if you break these terms, and you must then remove every copy of STRIDENT. It does not otherwise expire. Sections 6, 9 and 10 continue after it ends.
12. Changes
We may update these terms. The version in force when you bought your license applies to that purchase.
13. Law
These terms are governed by the laws of New Zealand. If you are a consumer, this does not take away any protection given to you by the law of the country where you live.
